Sci-Tech Ontario, Inc. ("Sci-Tech Ontario") provides this site and related services subject to your compliance with the terms and conditions set forth below (the "Agreement"). Please read the following information carefully.

By using this site, you expressly agree to the terms and conditions of this agreement. In addition, when using particular Sci-Tech Ontario services, you shall be subject to any posted guidelines or rules applicable to such services, which may be posted from time to time. All such guidelines or rules are hereby incorporated by reference into this agreement.

If you do not agree to these terms of use, please do not use this web site. We reserve the right, at our discretion, to change, modify, add, or remove portions of these terms at any time, for any reason, and without notice.

The entire contents of this web site (including text, graphics and multimedia content and all related code, including, but not limited to, the Sci-Tech Ontario mark, the Sci-Tech Ontario logo, HTML, other mark-up languages, programming code and all scripts within this site ("Content") are protected by copyright as a collective work and are the property of Sci-Tech Ontario, Inc. ("Sci-Tech Ontario") or its licensors (except where noted in 'credits' and are protected by Canadian copyright laws, international conventions, copyright laws and other intellectual property laws.

Sci-Tech Ontario owns a copyright in the Content original to this site and in the selection, coordination, arrangement and enhancement of the Content.

Except where expressly indicated and all Adobe Acrobat PDF files specified for download, the Content may not be copied, reproduced, republished, modified, uploaded, posted, transmitted or distributed in any way. Unless otherwise expressly permitted in writing by the owner of the Content the use of the Content on any third party web site or computer environment is prohibited. This Privacy Statement is to inform you how Sci-Tech Ontario gathers and uses your personal and non-personal information when you visit our web site. Sci-Tech Ontario reserves the right to change this Privacy Statement at any time by notifying visitors to this web site of the existence of a new Privacy Statement. Privacy and Accuracy

You acknowledge and agree that the Internet is not a secure medium, and neither the privacy of your communications, nor visits to this web site, can be ensured. The nature of Internet communications means that your communications may be susceptible to data corruption, interception and delays.

Collection of Information

We do not collect personal information about you unless you specifically and knowingly provide such information to us. This would generally happen in the case where you have registered as a member, subscribed to our e-newsletter or disclosed personally identifiable information on the message board of our web site. In these cases, your personal information may include your name, city, province, first three characters of your postal code, e-mail address, and descriptors of your school grade range or occupation, and level of experience with science and technology projects and fairs. Non-personal information about your visiting habits may also be automatically collected through the use of "cookies." Cookies are computer files that are placed in your hard drive to remember any preferences that you may have when surfing the web. They can also tell us how often particular pages are visited.

Use of Information

You agree and consent that your personal and non-personal information also may be used to generate statistics and aggregate reports for internal use by Sci-Tech Ontario and its affiliates, subsidiaries, licensees, successors, assigns, suppliers, benefactors, and advertisers. These statistics and reports will contain only aggregated and no personally identifiable information. Your identity is kept strictly anonymous. You also agree that when you voluntarily disclose information on the bulletin boards or in the Message Board of our web site, your personal and other information disclosed in your communication shall become public information and can be collected and used by outside parties. Such activities are beyond the control of Sci-Tech Ontario. Other than as indicated above, we do not currently sell, rent, share or otherwise make available your personal information to any outside parties. We encourage and support the efforts of parents and legal guardians of children under the age of 13 to monitor their children's Internet usage and to caution them against providing personal information to any web site over the web without permission.

Forums

"Forum" means a chat area, message board, e-mail or any other message or communication facilities or functions offered as part of this web site. You agree that you shall not use this web site, in any manner or to any extent, to do any of the following:

Commit any criminal or quasi-criminal offence, including without limitation, any pornography, threatening, intimidating, hate, assault, or economic crime whatsoever.

Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.

Publish, post, distribute or disseminate any defamatory, infringing, obscene, indecent or unlawful material or information.

Infringe, contravene, breach or otherwise interfere with or harm the rights of any other person, including without limitation any contractual, personality, confidentiality, privacy or publicity, moral, statutory, common law or intellectual property.

Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer.

Delete any author attributions, trademarks, trade names, logos, legal notices or proprietary designations or labels in any file that is uploaded.

Falsify the origin or source of software, information or other material contained in a file that is uploaded.

Advertise or offer to sell any goods or services, or conduct or forward any surveys, contests, or chain letters.

Download any file posted by another user of a Forum that you know, or reasonably should know, cannot be legally distributed in such manner.

Any conduct that encourages, conspires, entices or promotes the occurrence of any of the prohibited conduct stipulated herein.

You acknowledge and agree that all Forums are public and not private communications, and that you shall only use any Forum for non-commercial purposes.

Further, you acknowledge and agree that chats, postings, conferences, and other communications by other users are not monitored, screened, sanctioned or endorsed by Sci-Tech Ontario, and such communications shall not be considered reviewed, screened, or approved by Sci-Tech Ontario. However, Sci-Tech Ontario shall have the right, but not the obligation, to monitor the content of this web site, including the Forums, and to remove, refuse to post or edit any material or content which Sci-Tech Ontario, in its sole discretion, determines to be in violation of the provisions hereof or otherwise objectionable.

Subject to the foregoing, Sci-Tech Ontario will not monitor, edit, or disclose the contents of a visitor's e-mail unless (a) required to do so in the course of normal maintenance of this web site and its systems; (b) required to do so by reason of any law, court, governmental or other legal order or; (c) in the good-faith belief that such action is necessary to: (i) protect and defend the rights or property of Sci-Tech Ontario; (ii) ensure compliance with the provisions hereof; or (ii) act in an emergency to protect the personal safety of our visitors or the public. Visitors shall remain solely responsible for the content of their messages. Sci-Tech Ontario reserves the right for any reason to remove at any time without notice any contents of the Forum received from users, including without limitation message board postings. By posting, uploading or submitting any material or content to any Forum or otherwise submitting any material or content to us, you automatically grant (or automatically warrant that the owner of the rights to such material or content has expressly granted) Sci-Tech Ontario and its affiliates and subsidiaries a perpetual, royalty-free, irrevocable, non-exclusive right and license throughout the world to use, reproduce, modify, adapt, create derivative works from, publish, translate, license, transmit, distribute and otherwise exploit any or all portions of such material or content in any manner and media and by means of any technology now known or hereafter developed. In addition, you hereby irrevocably waive all so-called "moral rights" in any such materials and content posted, uploaded or submitted by you.

You agree to indemnify and hold harmless Sci-Tech Ontario, its affiliates and subsidiaries and its and their respective directors, officers, employees and agents from and against any and all claims, damages, costs, losses, liabilities, expenses or causes of action arising as a result of your posting, uploading or submitting materials or content to any Forum or to this web site or your failure to comply with these terms of use.

The Site may contain links to other Web sites operated by third parties ("Linked Sites"). You acknowledge and agree that Sci-Tech Ontario and its sponsors and benefactors neither endorse nor are affiliated with the Linked Sites and are not responsible or liable for any Content, advertising, products, or other materials that appear on or are available on or through such Linked Sites. You further acknowledge and agree that Sci-Tech Ontario shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such Content, advertising, products, or other materials. You also acknowledge and agree that the respective owners of the Linked Sites neither endorse nor are affiliated with Sci-Tech Ontario and its sponsors.

CODE OF CONDUCT

While using the Site or Site-related services, you agree not to:

1. Restrict or inhibit any other user from using and enjoying the Site and the Site-related services;

2. Upload, post or transmit any Content, which is unlawful, fraudulent, harmful, threatening, abusive, harassing, tortuous, libelous, defamatory, vulgar, obscene, hateful, invasive of privacy or publicity rights, or racially, ethnically or otherwise objectionable;

3. Harm minors in any way;

4. Impersonate any person or entity or falsely state or otherwise misrepresent your professional or other affiliation with any person or entity;

5. Without Sci-Tech Ontario's prior written approval, upload, post or transmit any advertising, promotional materials, "junk mail," "spam," "chain letters," pyramid schemes," or any other form of solicitation (Including, without limitation, the solicitation of users of the Site to become users of other Web sites or online services competitive with the Site or any Site-related services);

6. Upload, post or transmit any Content that contains a virus, worm, time bomb, Trojan horse, or any other disruptive or harmful component;

7. Disrupt the normal flow of dialogue or otherwise act in a manner that negatively affects other users' ability to engage in real time exchanges through the Site (Including, without limitation, by the excessive use of scripts, sound waves or scrolling);

8. Interfere with or disrupt the use of the Site or servers or networks connected to the Site, or disobey any requirements, procedures, policies or regulations of networks connected to the Site;

9. Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content uploaded, posted or transmitted on or through the Site; Upload, post or transmit any Content in violation of another party's patent, copyright, trademark, trade secret, or other intellectual property rights;

10. Upload, post or transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (Including, without limitation, inside information and proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

11. Intentionally or unintentionally violate any applicable local, state, provincial, national, or international laws or any regulations having the force of law;

12. Modify, adapt, sublicense, translate, sell, distribute, broadcast, exploit for commercial purposes, reverse engineer, decompile, or disassemble any portion of the Site or any Site-related services;

13. "Stalk" or otherwise harass another party; or

14. Collect or store personal data about other users of the Site.

Sci-Tech Ontario has no obligation to monitor the Site or Site-related services. However, you acknowledge and agree that Sci-Tech Ontario has the right to monitor the Site and the Site-related services (Including, without limitation, email, message board, forums and events), and to disclose any Content uploaded, posted or transmitted on or through the Site to any third party in order to: (a) operate the Site properly, (b) enforce this Agreement, (c) comply with legal obligations or governmental requests, (d) respond to claims that any such Content violates the intellectual property or other rights of third parties, and (e) protect itself and its sponsors, customers and the public. Sci-Tech Ontario reserves the right, at any time and with or without notice, to refuse to post or to remove any such Content, in whole or in part, that is, in its sole discretion, unacceptable, offensive or in violation of this Agreement or any applicable law.

WARRANTY AND LIMITATION OF LIABILITY INFORMATION

YOU ACKNOWLEDGE AND AGREE THAT THE SITE, THE SITE-RELATED SERVICES, THE CONTENT UPLOADED, POSTED OR TRANSMITTED ON OR THROUGH THE SITE, AND ANY PRODUCT OR SERVICE LICENSED OR PURCHASED THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR NONINFRINGEMENT OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THIS AGREEMENT. YOU FURTHER ACKNOWLEDGE AND AGREE THAT ANY WARRANTY THAT IS PROVIDED IN CONNECTION WITH ANY OF THE PRODUCTS OR SERVICES DESCRIBED HEREIN IS PROVIDED SOLELY BY THE OWNER, ADVERTISER OR MANUFACTURER OF THAT PRODUCT AND/OR SERVICE, AND NOT BY SCI-TECH ONTARIO. SCI-TECH ONTARIO MAKES NO WARRANTY THAT THE SITE, THE SITE-RELATED SERVICES AND THE CONTENT UPLOADED, POSTED OR TRANSMITTED ON OR THROUGH THE SITE WILL MEET YOUR REQUIREMENTS, OR THAT YOUR ACCESS TO AND USE OF ANY OF THE FOREGOING WILL BE UNINTERRUPTED, TIMELY, ACCURATE, RELIABLE, ERROR-FREE, OR SECURE. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE AND THE SITE-RELATED SERVICES.

YOU ACKNOWLEDGE AND AGREE THAT SCI-TECH ONTARIO, ITS AFFILIATES, ITS SPONSORS, ITS BENEFACTORS, ITS THIRD PARTY CONTENT PROVIDERS AND LICENSORS, AND ITS AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS ARE NOT RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE OR OTHER DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR DATA) UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY TO THIS AGREEMENT, THE SITE, THE SITE-RELATED SERVICES AND/OR ANY CONTENT UPLOADED, POSTED, OR TRANSMITTED ON OR THROUGH THE SITE. WITHOUT LIMITING THE FOREGOING, YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT SCI-TECH ONTARIO IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD-PARTIES, AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH YOU. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE, THE SITE-RELATED SERVICES AND/OR ANY CONTENT UPLOADED, POSTED OR TRANSMITTED ON OR THROUGH THE SITE IS TO STOP USING THE SITE AND/OR THOSE SERVICES.

A possibility exists that the Site could include inaccuracies or errors. Additionally, a possibility exists that unauthorized additions, deletions and alterations could be made by third parties to the Site. You understand that all Content uploaded, posted or transmitted on or through the Site, whether publicly or privately, is the sole responsibility of the person from which such Content originated. This means that you, and not Sci-Tech Ontario, are entirely responsible for all Content that you upload, post, email or otherwise transmit on or through the Site, and the burden of determining whether any such Content is protected by copyright rests solely with you. Although Sci-Tech Ontario attempts to ensure the integrity of the Site, it makes no guarantees whatsoever as to its completeness, correctness, or accuracy. In the event that such an inaccuracy arises, please inform Sci-Tech Ontario so that it can be corrected. In many instances, the Content uploaded, posted or transmitted on or through the Site represents the opinions and judgments of the respective information provider, Site user or member, or other user not under contract with Sci-Tech Ontario. Sci-Tech Ontario neither endorses nor is responsible for the accuracy or reliability of any opinion, advice or statement made on the Site by anyone other than authorized Sci-Tech Ontario employee spokespersons while acting in their official capacities. Under no circumstances will Sci-Tech Ontario be liable for any loss or damage caused by your reliance on any Content uploaded, posted or transmitted on or through the Site. INDEMNIFICATION

You agree to indemnify, defend and hold harmless Sci-Tech Ontario, its affiliates, its sponsors, its third party content providers and licensors, and its and their respective directors, officers, employees and agents from and against any and all claims, actions, suits, proceedings, judgments, damages, losses, liabilities, costs and expenses (Including, without limitation, reasonable attorneys' fees) arising directly or indirectly out of or in connection with (a) your breach of this Agreement (Including, without limitation, your violation of the Code of Conduct above), (b) any Content uploaded, posted or transmitted by you on or through the Site and/or (c) your activities in connection with the Site or any Site-related services.

SUBMISSIONS

You acknowledge and agree that, by submitting Content to Sci-Tech Ontario, you grant to Sci-Tech Ontario a royalty-free, perpetual, irrevocable, non-exclusive, worldwide right and license to link to, use, reproduce, transmit, modify, adapt, publish, display, perform, distribute, translate, create derivative works from, and sublicense such Content (in whole or in part) and/or to incorporate it in other works in any form, media or technology now known or hereafter developed for the full term of any copyright that may exist in such Content. Further, by submitting Content to Sci-Tech Ontario, you acknowledge and agree that you have the authority to grant such rights to Sci-Tech Ontario. USE OF SECURE AREA AND PASSWORD

Use of any password-protected area of the Site is restricted to the individual who has been given permission and a password to enter such area (the "Authorized Party"). The password cannot be distributed to others, and the Authorized Party is responsible for any and all damages to Sci-Tech Ontario resulting from the distribution of his or her password. If more than one individual wishes to use a single password belonging to an Authorized Party, such Authorized Party must request permission from Sci-Tech Ontario in writing, it being understood that Sci-Tech Ontario shall be under no obligation to approve any such request.

MODIFICATIONS

Sci-Tech Ontario shall have the right at any time and for any reason, in its sole discretion, to:

(a) modify the terms of this Agreement,

(b) modify the Site and the Site-related services (Including, without limitation, removing, eliminating or discontinuing any Content or feature thereof, restricting the hours of availability, or limiting the amount of use permitted).

Such modifications shall be deemed effective immediately upon notice thereof, which may be given by means including, but not limited to, posting on the Site, electronic mail or conventional mail. Your use of the Site and the Site-related services after such modifications shall be deemed to constitute your acceptance of such modifications. You are expected to review this Agreement periodically to ensure familiarity with the most current version, available online at: http://www.scitechontario.org/TermsAndCondition.asp

You agree that Sci-Tech Ontario shall not be liable to you or to any third party for any such modification.

TERMINATION

Sci-Tech Ontario shall have the right, at any time and for any reason, in its sole discretion and with or without notice, to immediately terminate this Agreement and/or any individual's access to and use of the Site and/or such user's password(s) or account(s), in whole or in part (Including, without limitation, in the event of any conduct by such user which Sci-Tech Ontario deems unacceptable, inappropriate or offensive or any breach by such user of this Agreement or any applicable law). You agree that Sci-Tech Ontario shall not be liable to you or to any third party for any such termination.

MISCELLANEOUS

This Agreement is entered into in the Province of Ontario and shall be governed by and construed in accordance with the laws of the Province of Ontario, exclusive of its choice of law rules. Each party to this Agreement hereby submits to the exclusive jurisdiction of the provincial and federal courts sitting in the Province of Ontario, and waives any jurisdictional, venue or inconvenient forum objections to such courts. In any action to enforce this Agreement, the prevailing party will be entitled to costs and attorneys' fees. In the event that any of the provisions of this Agreement shall be held by a court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement constitutes the entire agreement between the parties hereto pertaining to the subject matter hereof, and any and all prior or contemporaneous written or oral agreements existing between the parties hereto are expressly canceled. You may be subject to additional terms and conditions that may apply if and when you use third party Content or services. No waiver by Sci-Tech Ontario of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. You may not assign, delegate or otherwise transfer this Agreement or any of your rights and obligations hereunder without Sci-Tech Ontario's prior written consent. If any provision of this Agreement shall be unlawful, void or unenforceable, then such provision shall be deemed severable from this Agreement and shall not affect the validity any enforceability of any remaining provisions. Any heading, caption, or paragraph title contained in this Agreement is inserted only as a matter of convenience and in no way defines or explains any paragraph or provision hereof.

Disclaimer and Limitation of Liability

YOU UNDERSTAND AND EXPRESSLY AGREE THAT USE OF THE SCI-TECH ONTARIO WEB SITE IS AT YOUR SOLE RISK AND DISCRETION. YOU AGREE TO HOLD SCI-TECH ONTARIO AND ITS AFFILIATES AND SUBSIDIARIES ABSOLUTELY HARMLESS FROM, AND YOU COVENANT NOT TO TAKE ANY ACTION AGAINST SCI-TECH ONTARIO AND ANY OF ITS AFFILIATES AND SUBSIDIARIES FOR, ANY CLAIMS IN ANY CONNECTION WITH THIS WEB SITE. NEITHER SCI-TECH ONTARIO, ITS AFFILIATES AND SUBSIDIARIES, NOR ANY OF ITS AND THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR LICENSORS MAKES ANY REPRESENTATIONS, WARRANTIES OR COVENANTS, EITHER EXPRESS OR IMPLIED, OF ANY KIND WHATSOEVER WITH RESPECT TO THE SCI-TECH ONTARIO WEB SITE OR ITS CONTENTS.
